Primeo Energie on a growth trajectory – delegates confirm the Board of Directors’ motions
On 22 April 2020, EBM (Genossenschaft Elektra Birseck) held its 122nd Ordinary Delegates’ Meeting for the 2019 financial year without delegates actually attending for the first time in company history due to the coronavirus. All voting was conducted in writing alone.
As is the case with many other companies, the EBM (Genossenschaft Elektra Birseck) Delegates’ Meeting was also held without voters coming together in spring 2020. Instead, delegates were informed in writing about the 2019 financial year and results and all upcoming votes and elections. They were notified that Primeo Energie again achieved good results in all four business segments – electricity business, grid, heating and renewable energies – in 2019. All key operating figures were up on the previous year. All business segments have solid foundations and are well positioned to compete. The comprehensive sustainability report is included in the annual report and complies, for the first time, with GRI (Global Reporting Initiative) standards. Total sales increased by 8% on the previous year to CHF 696 million. The operating result (EBIT) was up 6% to CHF 67 million. At CHF 32 million, net profit is better than the previous year’s figure, which was influenced by one-off effects. Total assets amount to CHF 2.2 billion, an increase of CHF 63 million on the previous year. With a capital ratio of 59%, Primeo Energie still benefits from solid capitalisation.
Of the 310 members of the Delegates’ Meeting, 235 submitted voting forms (75.8%). The Office of the Delegates’ Meeting checked these before the Delegates’ Meeting began and counted the number of votes in individual votes and elections. The delegates accepted the management report, annual financial statements and consolidated annual financial statements for 2019 unanimously and resolved to allocate the disposable profit in accordance with the motion. They also formally approved the activities of the competent executive bodies in the 2019 financial year.
In the re-elections, the current members of the Board of Directors Elisabeth Schneider-Schneiter (Biel-Benken) and Dr Beatrice Van der Haegen-Graber (Münchenstein) were confirmed in office until 2024. In addition, the delegates appointed Dr Thomas C. Flatt (Zollikon) as a new member of the Board of Directors until 2024. He is taking over from Daniel Schnek (Therwil), who left the Board of Directors in December 2019. The auditor Ernst & Young AG was also confirmed for the 2020 financial year.
Over 55,000 members of the Genossenschaft EBM elect their delegates every four years and this is the case again in 2020. By participating in the election of delegates, the members exert their influence over the development of the cooperative and thus on Primeo Energie. The delegates represent the members and therefore protect the interests of various customer groups and regions. In June 2020, all members will be asked in writing to submit their nominations. The actual elections will take place in autumn 2020.
